These Terms of Use (the “Terms”) govern your access to and use of SVDoc (the “Service”), a document management and electronic-signature platform operated by [SVDoc Legal Entity] (“SVDoc,” “we,” “us,” or “our”). By creating an account, signing a document, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
SVDoc lets professionals prepare, send, sign, track, and store documents and related transaction records. Features and functionality may change over time. We may add, modify, or remove parts of the Service at our discretion.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to hold an account. You are responsible for the accuracy of your account information, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. Broker accounts may create and manage agent accounts within their organization; the account owner is responsible for their users’ compliance with these Terms.
3. Signers
People who sign documents through the Service (“signers”) do so through a secure link and are not required to create an account. If you send a document for signature, you are responsible for having the authority and consent to send it to each signer and for the accuracy of the recipient information you provide.
4. Electronic signatures and records
By using the Service to sign or send documents, you consent to conduct the transaction electronically and to the use of electronic signatures and records. Electronic signatures created through the Service are intended to be legally binding to the extent permitted by applicable law, including the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA), or comparable laws in your jurisdiction.
You are solely responsible for determining whether a given document is suitable for electronic signature and for meeting any legal, regulatory, or industry requirements that apply to your documents and transactions. SVDoc does not provide legal advice, and the Service is not a substitute for advice from a qualified attorney.
5. Your content
You retain all rights to the documents, data, and other materials you upload or create through the Service (“Your Content”). You grant SVDoc a limited, non-exclusive license to host, process, transmit, display, and store Your Content solely as needed to provide and improve the Service and as directed by you. You represent that you have the necessary rights to Your Content and that it does not infringe the rights of others or violate any law.
6. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or deceptive purpose, or to send documents you are not authorized to send;
- upload malicious code or attempt to disrupt, overload, or gain unauthorized access to the Service or its systems;
- forge signatures, misrepresent your identity, or sign on behalf of another person without authority;
- reverse engineer, resell, or scrape the Service except as permitted by law; or
- use the Service to store or transmit content that is unlawful, infringing, or that others may find harmful.
7. Third-party services
The Service relies on third-party providers for functions such as hosting and email delivery. Your use of the Service may be subject to those providers’ terms, and we are not responsible for their acts or omissions.
8. Fees
If your plan includes fees, you agree to pay all applicable charges as described at the time of purchase. Unless stated otherwise, fees are non-refundable. We may change pricing on a going-forward basis with reasonable notice.
9. Intellectual property
The Service, including its software, design, and branding, is owned by SVDoc and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right in the Service other than the limited right to use it as permitted here.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the legal effect, enforceability, or admissibility of any document or signature. We do not warrant that the Service will be uninterrupted, secure, or error-free.
11. Limitation of liability
To the maximum extent permitted by law, SVDoc and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or USD 100 if greater.
12. Indemnification
You agree to indemnify and hold SVDoc harmless from any claims, losses, or expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or others. Upon termination, your right to use the Service ends; certain provisions that by their nature should survive will continue to apply.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of [State/Country], without regard to conflict-of-law rules. The courts located in [Jurisdiction] will have exclusive jurisdiction over any dispute, unless applicable law requires otherwise.
